Foreign Corporation

A foreign corporation is a business that was incorporated in one State or overseas and conducts business in another.

 

For example,  BBZ Co. is incorporated in Arizona, but also conducts business in California.  In Arizona it is considered a Domestic corporation.  In California it is considered a Foreign entity.

 

If a business is incorporated in one state or overseas and wishes to do business in another State then it must register with the respective State as a foreign entity.

Many States require that foreign entities utilize a Register Agent in order register their business.  The Register Agent must be authorized by the State and reside in the respective State.
