What Are Bylaws?
Bylaws are internal corporate documents that is the written record which stipulate how the organization is managed.  The Chief Executive Officer (CEO) or the Board (if there is one) will stiuplate what rules, practices and processes is outlined in the Bylaws.
 
Are You Required To Have Bylaws

State laws require the corporations adopt Bylaws, hold an Annual Shareholders meeting, form a Board of Directors and hold a annual Board of Directors meeting. 

 

State law also require that the minutes of the meeting be recorded.  There are no requirements to provide a report to the States on whether or not the meetings took place or the Minutes of the meetings.  The Minutes of the meeting are internal documents to the corporation.
